Terms of Service
These terms govern your use of Cedar & Nails — this website, the Cedar & Nails app for homeowners, and the Cedar & Nails app for contractors (together, "the service"), provided by Saltzman Consulting LLC, doing business as Cedar & Nails ("we", "us"). By creating an account or using the service you agree to them.
1. The service
Cedar & Nails gives contractors tools to build estimates from a price book, send invoices as PDFs, and collect payment — and gives homeowners a way to request visits, review estimates, and pay. We provide the software; we are not a construction company, a contractor, or a party to any agreement between a homeowner and a contractor.
2. Accounts
You sign in with your email address. You're responsible for activity under your account and for keeping access to your email secure. A contractor account may invite team members; the company owner controls the company's data.
3. Your content
The business and project data you enter — price books, clients, estimates, invoices, payment records — is yours. You give us the limited right to store and process it to run the service. You're responsible for what you enter being lawful and accurate.
4. Payments & fees
Payments are processed by Stripe. Contractors must complete Stripe's onboarding before collecting payment through the service. Processing and platform fees are shown in the app — on the payouts page and before you take a payment. We are not a bank, and we do not hold your funds; payouts are handled by Stripe.
5. Between homeowners and contractors
Estimates, contracts, workmanship, scheduling, permits, and payment disputes are between the homeowner and the contractor. We don't guarantee any contractor's work, licensure, or insurance, and we don't guarantee that any homeowner will pay. Verify what matters to you before you sign or start work. If a disagreement does arise, see section 6.
6. Dispute resolution between users
The service keeps a shared record of each job — estimates, invoices, photos, reviews, and confirmations acknowledged by both sides. If a homeowner and a contractor (or two contractors) disagree, either side may ask us to review that record. We may facilitate a resolution and make a determination for platform purposes — for example adjusting confirmations, reviews, or account standing. This process is voluntary and free of charge; it is not binding arbitration, we are not either party's legal representative, and it does not limit any party's legal rights or remedies. Section 5 still applies: the underlying agreement remains between you.
7. Acceptable use
Don't use the service to break the law, to send spam, to misrepresent who you are or what you're licensed to do, or to interfere with the service or other accounts.
8. Disclaimers
The service is provided "as is". We work to keep it available and correct, but we don't warrant uninterrupted or error-free operation, and we disclaim implied warranties to the extent the law allows.
9. Limitation of liability
To the extent the law allows, we're not liable for indirect, incidental, or consequential damages, and our total liability for any claim related to the service is limited to the amount you paid us in the twelve months before the claim.
10. Termination
You can stop using the service and delete your company or account at any time (see the Privacy Policy for how deletion works). We may suspend or terminate accounts that violate these terms.
11. Changes
If these terms change materially, we'll update this page and the "last updated" date above. Continuing to use the service after a change means you accept the new terms.
12. Governing law
These terms are governed by the laws of California, without regard to conflict-of-law rules.
